1. Acceptance of Terms

By accessing or using ChainSifter (the "Service"), operated by Guerilla Finance Inc., you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Guerilla Finance Inc. If you do not agree, do not use the Service.

2. Description of Service

ChainSifter is a supply chain intelligence platform that maps verified supplier, customer, debt, acquisition, and ownership relationships for publicly traded U.S. companies, extracted from SEC filings and regulatory documents. The Service enables investors, analysts, and researchers to explore supply chain exposure, correlations, and counterparty risk.

3. Not Financial Advice

The Service does not provide investment, financial, tax, or legal advice.

All supply chain data, correlations, and intelligence provided by ChainSifter are for informational and research purposes only. Nothing on this platform constitutes a recommendation to buy, sell, or hold any security. Guerilla Finance Inc. is not a registered investment adviser, broker-dealer, or financial planner. Supply chain relationships are descriptive — they do not predict stock performance. Always consult qualified professionals before making investment decisions.

4. No Client Relationship

Your use of the Service does not create any advisory, fiduciary, broker, dealer, or client relationship between you and Guerilla Finance Inc. We do not act as your financial adviser or in any fiduciary capacity. We owe you no fiduciary duty, duty of loyalty, or duty of care in connection with your use of the Service or any investment or trading decisions you make. The Service is a data and research tool — the decision to act on any information is yours alone.

5. Market Risk Acknowledgment

By using the Service, you explicitly acknowledge and agree that:

Investing in securities involves substantial risk of loss, including the potential loss of your entire investment;
Financial markets are inherently volatile and unpredictable; past performance is not indicative of future results;
Supply chain relationships extracted from SEC filings may be outdated, misclassified, or incomplete, and do not reflect real-time business relationships;
Correlation data is derived algorithmically and does not represent a prediction of stock co-movement or future performance;
No data, score, or analysis on this platform predicts or guarantees future stock prices or market performance;
You are solely responsible for independently evaluating the risks of any investment or trading decision.

6. User Responsibilities

You are solely responsible for:

All investment and trading decisions you make, regardless of any information obtained from the Service;
Conducting your own independent research and due diligence before making any investment decision;
Understanding the risks associated with securities investing, including the risk of total loss;
Compliance with all applicable laws, regulations, and rules governing your trading and investing activities, including securities laws and tax obligations;
Verifying supply chain relationships from primary SEC source documents before acting on them;
Ensuring that your use of the Service complies with these Terms at all times.

7. Intellectual Property

The Service — including the ChainSifter supply chain graph, correlation engine, relationship classification methodology, scoring algorithms, data pipelines, codebase, visual design, and all associated branding — is the exclusive property of Guerilla Finance Inc. and is protected by U.S. and international copyright, trademark, and trade secret law.

The supply chain relationship database, correlation tables, and intelligence derived from SEC filings are proprietary compiled works. The extraction methodology, entity resolution algorithms, and relationship classification framework are trade secrets and confidential business information.

Your subscription (or free access) grants you a limited, personal, non-commercial, non-transferable, revocable license to access and use the Service for your own research. No other rights are granted.

8. Automated Access and Data Harvesting Prohibition

Strictly Prohibited — Legal Action Will Be Taken

ChainSifter's supply chain graph represents hundreds of thousands of SEC filing extractions built over years of continuous processing. This data is our core product and proprietary asset. Automated extraction constitutes theft of trade secrets and unauthorized computer access under federal law. Violators will be blocked, pursued civilly, and referred to federal law enforcement.

You may not, directly or through any third party, tool, or service:

Use bots, spiders, crawlers, scrapers, or any automated means to access, download, or extract data from any part of the Service — including supply chain graphs, correlation tables, ticker data, or API responses;
Use headless browsers or browser automation frameworks (including Playwright, Puppeteer, Selenium, Scrapy, or equivalents) to interact with or harvest from the Service;
Programmatically query API endpoints, graph endpoints, or data feeds at a rate or volume exceeding normal human browsing, or in a pattern consistent with data harvesting;
Cache, store, or systematically accumulate supply chain relationships, correlation data, ownership structures, or any other Service data;
Use data obtained from ChainSifter to train, fine-tune, benchmark, or evaluate AI or machine learning models without a written commercial license from Guerilla Finance Inc.;
Sell, sublicense, redistribute, republish, or commercialize supply chain data, correlation data, or intelligence obtained from the Service;
Build any competing product, service, database, or supply chain dataset using data obtained from the Service;
Reverse-engineer or attempt to derive ChainSifter's relationship extraction methodology, entity resolution algorithms, or correlation scoring;
Circumvent, disable, or evade rate limiting, IP blocks, API key controls, or any other access controls — including through IP rotation, proxy networks, or residential proxies;
Place unreasonable or disproportionate load on our servers, graph database, or APIs.

Legal Consequences

Unauthorized automated access constitutes unauthorized access to a protected computer under the Computer Fraud and Abuse Act (18 U.S.C. § 1030). Systematic extraction of ChainSifter's supply chain database constitutes misappropriation of trade secrets under the Defend Trade Secrets Act (18 U.S.C. § 1836). Circumventing technical access controls may additionally violate the Digital Millennium Copyright Act (17 U.S.C. § 1201).

Guerilla Finance Inc. actively monitors access patterns, request rates, API usage, and behavioral fingerprints. We will: (a) immediately and permanently block offending IP addresses, autonomous system numbers (ASNs), and API keys without notice; (b) pursue civil remedies including injunctive relief, actual damages, disgorgement of profits, and attorneys' fees; and (c) refer criminal violations to the FBI and other federal law enforcement agencies. We retain detailed access logs for use in legal proceedings.

Technical Enforcement

We employ rate limiting, IP blocking, API key revocation, TLS fingerprinting, behavioral analysis, and honeypot graph nodes. These controls operate at the infrastructure level. Triggering them may result in a permanent block with no appeal. Attempting to circumvent a block is a separate and independent violation of these Terms and applicable law.

9. Acceptable Use

You further agree not to:

Use supply chain intelligence to facilitate market manipulation, front-running, or any activity that violates securities laws;
Attempt unauthorized access to backend systems, non-public endpoints, or other users' accounts;
Introduce malicious code, vulnerabilities, or denial-of-service attacks;
Use the Service for any unlawful purpose or in a manner that violates any applicable law or regulation.

10. Data Sources and Accuracy

Supply chain relationships are extracted from SEC filings using proprietary analysis. While we strive for accuracy, relationships may be misclassified, incomplete, or outdated. Company names, tickers, and relationship types are resolved algorithmically and may contain errors. Always verify relationships from primary source documents before acting on them.

11. Third-Party Services

The Service integrates data from third-party providers including regulatory data sources and market data vendors, and other public sources. Guerilla Finance Inc. is not responsible for:

Third-party service outages, disruptions, or API failures;
Incorrect, incomplete, delayed, or unavailable data from third-party sources;
Changes to regulatory data availability, filing formats, or coverage;
The accuracy of underlying source data from SEC filings or public regulatory disclosures.

Your use of data obtained through the Service may also be subject to those third-party providers' terms of service.

12. AI-Assisted Content

Some content on ChainSifter — including intel articles and relationship summaries — may be generated or augmented with AI tools. AI-generated content does not constitute investment advice and may contain inaccuracies. Always verify from primary SEC filings.

13. Subscription and Billing

ChainSifter offers free and paid subscription tiers. Paid subscriptions are billed on a recurring basis through Stripe. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. Refund requests must be submitted within 7 days of initial purchase. We reserve the right to modify pricing with 30 days' notice.

14. Force Majeure

Guerilla Finance Inc. shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including without limitation: acts of God, natural disasters, pandemic or epidemic, war, terrorism, government action or regulation, power failures, internet or telecommunications outages, third-party service failures, cyberattacks, or financial market disruptions. During such events, we may suspend or restrict the Service without notice or liability.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY SUPPLY CHAIN DATA, CORRELATIONS, OR ANALYTICS ARE ACCURATE, COMPLETE, OR CURRENT; (C) THIRD-PARTY DATA SOURCES WILL BE AVAILABLE OR ACCURATE; (D) DEFECTS WILL BE CORRECTED; OR (E) THE SERVICE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUERILLA FINANCE INC. AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO: TRADING LOSSES, INVESTMENT LOSSES, LOST PROFITS OR REVENUE, LOSS OF CAPITAL, LOSS OF DATA, LOST BUSINESS OPPORTUNITIES, DAMAGES ARISING FROM RELIANCE ON PLATFORM DATA OR ANALYTICS, DAMAGES FROM INVESTMENT OR TRADING DECISIONS, PLATFORM OUTAGES OR DOWNTIME, DELAYED OR INACCURATE INFORMATION, THIRD-PARTY SERVICE FAILURES, OR UNAUTHORIZED ACCESS TO YOUR DATA. THIS EXCLUSION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE GREATER OF FEES PAID IN THE PRIOR THREE MONTHS OR FIFTY U.S. DOLLARS ($50.00).

17. Indemnification

You agree to indemnify, defend, and hold harmless Guerilla Finance Inc. and its owners, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your violation of these Terms; (b) your misuse of the Service; (c) any investment or trading decisions you make based on information obtained from the Service; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights.

18. Termination

We may restrict, suspend, or permanently terminate your access at any time, for any reason, without notice and without liability — including for violation of these Terms, suspicious access patterns, or any conduct we deem harmful. Termination does not waive our right to pursue legal remedies for past violations.

19. Geographic Restrictions

The Service is operated from the United States and is intended primarily for U.S. audiences. We make no representation that the Service or its content is appropriate or available in any particular jurisdiction outside the United States. If you access the Service from outside the United States, you do so on your own initiative and are solely responsible for compliance with applicable local laws, regulations, and rules. We reserve the right to restrict access from any jurisdiction at any time without notice.

20. Arbitration and Dispute Resolution

Please read this section carefully — it affects your legal rights.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved exclusively through binding individual arbitration administered under the rules of the American Arbitration Association (AAA), rather than in court, except: (a) you may assert claims in small claims court if your claims qualify; and (b) either party may seek emergency injunctive relief in court to protect intellectual property rights or prevent irreparable harm, pending arbitration.

Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING AGAINST GUERILLA FINANCE INC. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

Any arbitration shall be conducted in Fulton County, Georgia, or remotely by mutual agreement, under the substantive laws of the State of Georgia. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Time Limit. Any claim must be brought within one (1) year of the date the cause of action arose, or it is forever barred. You agree to first contact us at legal@chainsifter.com and allow 30 days to attempt informal resolution before initiating arbitration.

21. Modifications to the Service

Guerilla Finance Inc. reserves the right to: (a) modify, update, add, or remove features or functionality of the Service at any time; (b) discontinue the Service or any portion thereof, temporarily or permanently; (c) change data sources, refresh rates, or data coverage without notice; (d) change pricing, subscription terms, or available tiers; and (e) impose limits on certain features or restrict access to all or part of the Service. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

22. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guerilla Finance Inc. regarding the Service and supersede all prior agreements, representations, and understandings relating to the Service.

23. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after a change constitutes acceptance. Material changes will be reflected in an updated effective date on this page.
